On this page are the Montana Secretary of State Corporate yearly filings for the Missouri River Ranches Landowners Corporation (MRRLC).
You may be wondering why these documents are important.
In 1991 the Missouri River Ranches Landowners Corporation was formed. Each year a Board of Directors was elected/appointed by the Landowners. The problem is and has been that the entire Board of Directors elected/appointed by the Landowners were never listed as the Board of Directors in the Corporate State filings. In some filings Board Members that were never elected/appointed by the Landowners were listed as Board Members (e.g. John Buchanan) in the State Filings.
The Landowners elected/appointed a partial pseudo Board which had no legal representative power to control the Missouri River Ranches Landowners Corporation in accordance with the Missouri River Ranches Landowners Corporation bylaws (class A and B members).
What does this mean? If you examine the documents below you will notice that two elected/appointed Board of Directors listed themselves as the Officers exercising complete control of the Corporation, while through pseudo elections held annually, the Landowners elected a Class 'A' and 'B' Member which were to constitute two of the five Board Member positions as required by the MRRLC bylaws. The 'A' and 'B' Board Members elected by the Landowners had no legal authority to monitor or control the Corporation including the Corporations financial activity since they were never listed as Board Members in the state filings.
Most recently in 2016, an election was held at the annual meeting to elect the Corporate President of the Missouri River Ranches Landowners Corporation by the Landowners. In accordance with the MRRLC bylaws the Landowners cannot elect the Corporate President. The Board of Directors has to appoint the President. You the Landowners, the electorate, have since 2009 elected a pseudo president that could not, did not hold the Corporate Officer position of President and was never listed as the President in the Corporate State filings.
The Landowners have been participating in elections that made little or no difference.
Contact the Missouri River Ranches Landowners Corporation Board of Directors and urge them to operate in
accordance with the Bylaws.
